Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, software, communications, phone-verification, billing-message, and related services provided by Magik Digital ("Magik Digital," "we," "us," or "our") (collectively, the "Services"). By using the Services, creating an account, submitting a form, or otherwise agreeing to these Terms, you agree to be bound by them. If you use the Services for an organization, you represent that you have authority to bind that organization.
1. Eligibility and accounts
You must be at least 18 years old and legally able to enter into a contract to use the Services. You agree to provide accurate information, keep account credentials and verification codes confidential, and promptly notify us of suspected unauthorized use. You are responsible for activity under your account except to the extent caused by our breach of these Terms or applicable law.
2. The Services
Magik Digital provides digital, communications, account, and billing-support services. Features may include verifying a mobile number or identity, sending invoices or payment links, delivering payment reminders and receipts, and responding to support requests. We may improve, modify, suspend, or discontinue features, subject to any obligations in an applicable written order or agreement.
3. Magik Digital Billing & Verification Texts
When you provide a mobile number and affirmatively consent, you enroll in Magik Digital Billing & Verification Texts. The program may send:
- one-time passcodes and mobile-number or account-verification messages;
- invoices, secure payment links, balance notices, payment reminders, and receipts;
- account, service, scheduling, and customer-support messages related to your relationship with Magik Digital; and
- other messages specifically described at the point where you opt in.
Message frequency varies. The number of messages depends on your verification attempts, transactions, account activity, and support requests. Message and data rates may apply.
To opt out, reply STOP. You may also use another reasonable method described in a message or contact us at info@magikdigital.com. We may send one final message confirming your opt-out. After opting out, you may still receive non-SMS communications and messages required or permitted by law.

Consent to automated text messages is not a condition of purchasing goods or services. You represent that you are the subscriber or customary user of the number you provide and are authorized to consent to messages at that number. Tell us promptly if your number changes or is reassigned. Mobile carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by your carrier and is not guaranteed.
Phone verification does not guarantee a person's identity, authority, creditworthiness, or the validity of a transaction. Do not share verification codes. Magik Digital will not ask you to provide a verification code to an unexpected caller or sender.
4. Billing and payment links
A text message may contain a link that takes you to a secure webpage where you can view or pay an invoice. Unless expressly stated otherwise at checkout, replying to a text does not charge your wireless account, and the Services do not provide carrier billing. Payments are processed through the payment method and processor identified on the payment page. You authorize the charges you approve and agree to provide accurate billing information.
Invoice amounts, due dates, taxes, refunds, recurring charges, and cancellation terms are governed by the applicable order, invoice, subscription terms, or other written agreement. If a text conflicts with an invoice or signed agreement, the invoice or signed agreement controls. Contact us promptly about a suspected billing error. Text-message delivery failure does not change an amount due or extend a payment deadline unless we agree in writing or applicable law requires otherwise.
5. Acceptable use
You may not:
- use the Services unlawfully, fraudulently, deceptively, or to violate another person's rights;
- impersonate another person or misrepresent your identity, authority, consent, or relationship with an organization;
- interfere with security, attempt unauthorized access, share verification codes for fraudulent purposes, or introduce malicious code;
- use automated means to scrape, overload, probe, or disrupt the Services; or
- use the Services to send communications without the recipient's legally sufficient consent.
6. Intellectual property
The Services, including their software, design, text, graphics, trademarks, and other content, are owned by Magik Digital or its licensors and protected by law. Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, revocable right to use the Services for their intended purpose. No other rights are granted.
7. Third-party services
The Services may use or link to mobile carriers, payment processors, hosting providers, and other third-party services. Your use of a third-party service may be governed by its own terms and policies. We are not responsible for third-party services we do not control.
8. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect personal information. We do not sell, rent, or share mobile numbers or text-messaging opt-in data or consent with third parties or affiliates for their own marketing or promotional purposes.
9. Suspension and termination
You may stop using the Services at any time. We may restrict, suspend, or terminate access when we reasonably believe you violated these Terms, created risk or legal exposure, failed to pay amounts due, or used the Services fraudulently or unlawfully. Provisions that by their nature should survive termination will survive.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." MAGIK DIGITAL DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT EVERY MESSAGE OR VERIFICATION CODE WILL BE DELIVERED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THIS SECTION MAY NOT APPLY TO YOU.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGIK DIGITAL AND ITS OWNERS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID MAGIK DIGITAL FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT OR (B) US $100. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.
12. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Magik Digital and its owners, employees, affiliates, and service providers from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your unlawful misuse of the Services, your violation of these Terms, or your infringement of another person's rights.
13. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Unless applicable law requires otherwise, the state and federal courts located in Tarrant County, Texas will have exclusive jurisdiction over disputes arising from these Terms or the Services, and you consent to their jurisdiction. Before filing a claim, you and Magik Digital agree to make a good-faith effort to resolve the dispute informally by written notice and 30 days of discussion.
14. Changes to these Terms
We may update these Terms periodically. We will post the revised Terms and update the effective date. Material changes will apply prospectively, and we will provide additional notice where required by law. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
15. General
These Terms and any applicable written order or agreement are the entire agreement regarding the Services covered by them. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of assets.
